Has anybody a soulution how to convert a *.3ds file in a *.ms3d file?

Import the 3ds into milkshape.
Save file as MS3D.

Buying milkshape would probably be best way to do it. You could also try the free biturn which you can find in the irrlicht wiki but I don't think it offers complete support for the ms3d format.
